03

Service Fees & Payment

Our service fees are communicated to you through a detailed quotation before commencement of work. All fees are quoted in Indian Rupees (INR) unless otherwise specified. The following payment terms apply: (a) Standard Services — 50% advance payment required to initiate processing, with the balance due upon completion before document delivery; (b) Express / NRI Services — 100% advance payment required before processing commences; (c) Government Fees — charged at actuals as per applicable government schedules and are non-refundable once paid to authorities; (d) Courier Charges — quoted separately and payable in advance for document dispatch. We accept payments via UPI, NEFT/IMPS, credit/debit cards, and PayPal (for international clients). All fees are exclusive of GST (currently 18%), which is added at the time of invoicing unless the client is exempt.
04

Service Timelines

All processing timelines provided by MDS are estimates based on typical government processing speeds, historical data, and our internal service level agreements (SLAs). Actual timelines may vary due to factors beyond our reasonable control, including but not limited to: (a) government authority processing backlogs and administrative delays; (b) public holidays observed by government offices, embassies, or courier services; (c) document verification requirements and requests for additional information by issuing authorities; (d) force majeure events including natural disasters, pandemics, strikes, or civil unrest; (e) delays in document receipt from clients or third parties. MDS commits to providing regular status updates (minimum once per week) and proactive communication regarding any anticipated or actual delays. Timelines commence from the date all required documents and payments are received.
05

Limitation of Liability

To the maximum extent permitted by applicable law, Manav Digital Services, its directors, employees, and agents shall not be liable for: (a) any delays caused by government authorities, embassies, consulates, municipal corporations, or third-party logistics providers; (b) rejection or denial of any application by issuing authorities due to incorrect, incomplete, or fraudulent information provided by the client; (c) loss, damage, or delay of documents during third-party logistics shipping (clients may request insured shipping at additional cost); (d) any indirect, incidental, special, consequential, or punitive damages arising out of or relating to our services; (e) any damages exceeding the total service fees paid by you for the specific service giving rise to the claim. This limitation of liability applies regardless of the legal theory on which the claim is based, whether in contract, tort, negligence, or otherwise.
06

Refund Policy

Our refund policy is designed to be fair while protecting our legitimate business interests. Service fees are refundable under the following conditions: (a) Full Refund — if we are unable to commence processing within 7 business days of receiving all required documents and payment, without a valid reason attributable to us; (b) Partial Refund (50% of service fees) — if cancellation is requested before any documents have been submitted to government authorities; (c) Service Impossibility — if a service becomes impossible to complete due to reasons within our control and no satisfactory alternative can be offered. Government fees, once paid to the respective authorities, are strictly non-refundable under any circumstances. Courier charges, once incurred, are also non-refundable. All refunds are processed within 7–10 business days to the original payment method. For a detailed refund breakdown, please refer to our complete Refund Policy page.

08

Governing Law & Jurisdiction

These Terms of Service and any separate agreements whereby we provide you services shall be governed by and construed in accordance with the laws of the Republic of India. Any dispute, claim, or controversy arising out of or relating to these Terms or the services provided by Manav Digital Services shall first be attempted to be resolved through good-faith negotiations. If the dispute cannot be resolved amicably within 30 days, it shall be subject to the exclusive jurisdiction of the courts located in New Delhi, India. The parties expressly agree to waive any objection to the venue or jurisdiction of such courts. The United Nations Convention on Contracts for the International Sale of Goods (CISG) shall not apply to these Terms.
09

Indemnification

You agree to indemnify, defend, and hold harmless Manav Digital Services, its directors, officers, employees, agents, contractors, and affiliates from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from or relating to: (a) your violation of these Terms of Service; (b) your use of our services including any unauthorised use of your account by third parties; (c) any misrepresentation, false information, or fraudulent documents provided by you; (d) your violation of any applicable law, regulation, or third-party right, including intellectual property rights; (e) any claim brought by a government authority arising from or relating to documents submitted on your behalf. This indemnification obligation shall survive the termination of these Terms and your use of our services. We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, at your expense, and you agree to cooperate fully with our defense of such claims.
10

Force Majeure

Manav Digital Services shall not be liable for any failure or delay in the performance of its obligations under these Terms arising from or attributable to events, circumstances, or causes beyond its reasonable control. Such force majeure events include but are not limited to: (a) acts of God including earthquakes, floods, hurricanes, cyclones, epidemics, pandemics (including COVID-19), and other natural disasters; (b) government actions including lockdowns, curfews, travel restrictions, visa restrictions, changes in law or regulation, and executive orders; (c) war, terrorism, civil unrest, insurrection, riots, and acts of public enemies; (d) strikes, labour disputes, or industrial actions not involving MDS's own employees; (e) failure or disruption of utilities, telecommunications, internet service, or transportation networks; (f) cyber attacks, hacking, or denial of service attacks; (g) any other event not within the reasonable control of MDS. If a force majeure event continues for a period exceeding 30 consecutive days, either party may terminate the affected service engagement by providing written notice to the other party. In such case, MDS will refund any unearned portion of fees paid, after deducting non-refundable charges already incurred and a reasonable administrative fee.
11

Severability & Waiver

If any provision of these Terms is held by a court of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent necessary, and the remaining provisions of these Terms shall continue in full force and effect. The failure of MDS to enforce any right or provision under these Terms shall not constitute a waiver of such right or provision, nor shall any single or partial exercise of any right preclude subsequent exercise thereof. No waiver of any breach of any provision of these Terms shall be deemed a waiver of any preceding or succeeding breach, nor shall any waiver constitute a continuing waiver. Any waiver must be in writing and signed by an authorised representative of MDS to be effective.
12

Entire Agreement

These Terms of Service, together with our Privacy Policy, Refund Policy, Disclaimer, DPDP Policy, and any service-specific quotation or agreement provided by Manav Digital Services, constitute the entire agreement between you and MDS governing your use of our website and services. These documents supersede all prior or contemporaneous communications, representations, understandings, and agreements, whether oral or written, between the parties relating to the subject matter herein. No modification, amendment, or variation of these Terms shall be binding on MDS unless expressly agreed to in writing and signed by an authorised representative of MDS. Any terms or conditions proposed by you that are inconsistent with or in addition to these Terms are hereby rejected and shall have no force or effect unless expressly accepted in writing by MDS. In the event of any conflict between these Terms and any service-specific agreement, the service-specific agreement shall prevail to the extent of the conflict. If you are entering into these Terms on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind such entity to these Terms.
